End User License Agreement

This End User License Agreement ("EULA" or "Agreement") is a legal contract between you ("you" or "User") and Syntaxiom Education ("Syntaxiom", "we", "us", or "our") governing your use of the Syntaxiom mobile application, website, and all related services (collectively, the "Service").

By creating an account, downloading the application, or using the Service in any way, you agree to be bound by this Agreement. If you do not agree, do not use the Service.

For users under the age of 18, a parent or legal guardian must read and accept this Agreement on the minor's behalf. By allowing a minor to use the Service, the parent or guardian represents that they have reviewed and agreed to this Agreement.

1. License Grant

Subject to your compliance with this Agreement, Syntaxiom grants you a personal, non-exclusive, non-transferable, revocable, limited license to:

• Install and use the Syntaxiom mobile application on devices that you own or control
• Access the Syntaxiom website and web-based features
• Use the learning features, dictionary, question banks, and reading tools for your personal educational use

This license is limited to personal use. For organization accounts (schools, tutoring centers), the license extends to enrolled students and assigned teachers for the duration of their enrollment or employment, subject to the organization's subscription terms.

2. Ownership and Intellectual Property

2.1 Syntaxiom-Owned Content

Syntaxiom and its licensors retain all right, title, and interest in and to the Service, including but not limited to:

• The application software, source code, and user interface design
• The dictionary database, including definitions, example sentences, phonetic transcriptions, and etymological data
• Bridge translation packs (Chinese, Spanish, French, German, Japanese, Portuguese, Italian, and future languages)
• Question banks, quiz content, and assessment materials
• Collocation data and learning algorithm implementations
• Origin stories, gists, and curated learning content
• Grammar curriculum, leveled readers, and educational materials
• Worksheets, printables, and generated learning resources
• The spaced repetition system, mastery tracking, and learning path algorithms
• Software copyright registrations (软件著作权) and patent rights

No ownership rights are transferred to you under this Agreement. You receive only the limited license expressly stated in Section 1.

2.2 User-Uploaded Content

When you upload documents (photos, scanned pages, PDFs, EPUB files) to the Service for the document transformation pipeline:

• You retain ownership of all content you upload. Syntaxiom does not claim ownership of your uploaded documents.
• You grant Syntaxiom a limited, temporary license to process your uploaded content solely for the purpose of creating an interactive reading document for your personal use. This license terminates when the content is deleted from your account or device.
• You warrant that you have the legal right to use and process all content you upload, including but not limited to: personal copies you have legally acquired, content used under fair use or fair dealing provisions, content for which you own the rights, or content used with permission of the rights holder.
• Syntaxiom is not liable for copyright infringement committed by users who upload content they do not have the right to use. The user bears sole responsibility for ensuring their use of uploaded content complies with applicable copyright law.
• Syntaxiom does not verify, monitor, or review uploaded content for copyright compliance. We do not knowingly facilitate copyright infringement and will remove access to content if properly notified of infringement pursuant to applicable law.

2.3 Transformed Documents

When the Service transforms your uploaded content into an interactive reading document (with word hotspots, dictionary integration, text-to-speech, annotation tools, and other reading features):

• The transformed document is derived from your uploaded content and is for your personal use only
• Transformed documents cannot be shared, exported, distributed, published, or redistributed outside of the Service, except within a linked family account
• You may not make transformed documents available to other users, third parties, or the public
• The transformation technology, interactive features, and user interface applied to the document are Syntaxiom's intellectual property and are not licensed for independent use
• Transformed documents are stored locally on your device or in your personal account. Syntaxiom does not retain copies of transformed documents on its servers beyond what is necessary to provide the Service to you.

2.4 User-Generated Educational Content

If you are a teacher or administrator and create custom word lists, assignments, quizzes, or other educational content within the Service:

• You retain ownership of the content you create
• You grant Syntaxiom a non-exclusive license to host, display, and distribute that content to your enrolled students through the Service
• You are responsible for ensuring that any third-party content you incorporate into your assignments complies with applicable copyright law
• Syntaxiom-generated content (questions, worksheets, reports) created using your inputs is jointly governed by this Agreement and your organization's subscription terms

3. Permitted Use

You may use the Service:

• For your personal language learning and educational study
• As a teacher, for assigning and monitoring student work within your classes
• As a parent, for monitoring your child's learning activity within a linked family account
• As a student, for completing assigned work and independent study
• For creating and using transformed reading documents from content you have the right to use, for personal study only

4. Prohibited Conduct

You agree NOT to:

4.1 Content Scraping and Data Extraction

• Systematically extract, scrape, crawl, or download dictionary content, question banks, bridge translations, or any other data from the Service using automated tools, scripts, bots, or manual bulk copying
• Reverse engineer, decompile, disassemble, or otherwise attempt to extract source code or data structures from the mobile application, local database, or website
• Access the Service's API or backend systems in a manner that exceeds normal user interaction, including bypassing rate limits, authentication, or encryption measures
• Decrypt, unencrypt, or attempt to access encrypted content distributed through the Service except through the application's normal functionality

4.2 Redistribution and Misuse of Content

• Copy, republish, redistribute, sell, resell, lease, rent, or sublicense any content from the Service to third parties
• Host, mirror, or make available any portion of the Service's content (dictionary, questions, translations, curriculum materials) on any other platform, website, or service
• Use Service content as input for training, developing, or improving competing products or services
• Export transformed reading documents or uploaded content outside of the Service or a linked family account
• Share account credentials with individuals outside of your household or organization to circumvent licensing or subscription requirements

4.3 Unauthorized Access and Abuse

• Attempt to gain unauthorized access to any portion of the Service, other users' accounts, or backend systems
• Interfere with or disrupt the Service, including overloading servers, sending malicious content, or introducing viruses or malware
• Use the Service for any illegal, fraudulent, or unauthorized purpose
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices from the Service or its content

4.4 Uploaded Content Restrictions

• Upload content that you do not have the legal right to use or process
• Upload content that is illegal, defamatory, or infringes on the rights of others
• Upload content with the intent of distributing it through the Service to other users
• Use the document transformation pipeline to create derivative works for commercial distribution

5. Family Account Sharing

Within a linked family account, transformed documents and learning materials may be shared among family members who are registered users of the same family account. This sharing is limited to:

• Parents viewing a child's learning activity and progress
• Family members accessing the same transformed reading documents for shared study
• A family member's reading documents being accessible to other family members within the same account

Sharing outside of a linked family account is prohibited under Section 4.2.

6. Organizations and Schools

For users accessing the Service through a school or organization:

• The organization's subscription terms govern the number of licensed users and available features
• Organization administrators can create, manage, and deactivate student and teacher accounts within their organization
• When a student is released from an organization, their learning data follows them according to the account transfer process described in our Privacy Policy
• Organizations may not redistribute Syntaxiom content to non-enrolled individuals or use the Service beyond their licensed scope
• Teacher-created educational content remains the property of the teacher or organization, licensed to Syntaxiom for distribution to enrolled students only

7. Subscriptions and Payments

• Some features of the Service may require a paid subscription (personal, family, or organization plan)
• Subscriptions are processed through Apple's In-App Purchase system or Google Play Billing, subject to their respective terms and refund policies
• Free-tier users have access to limited features. Syntaxiom may modify the scope of free features at any time with reasonable notice
• Subscription fees are non-refundable except as required by applicable law or platform policies
• Syntaxiom may change subscription pricing with reasonable advance notice. Existing subscriptions will be honored at the current rate until renewal

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Guarantees of specific educational outcomes, language proficiency levels, or test scores
• Guarantees that the dictionary content, translations, or question banks are error-free or complete
• Guarantees that the pronunciation scoring or OCR features will be accurate in all cases
• Guarantees that the Service will be uninterrupted, error-free, or secure

Educational content is provided for learning purposes. Users should consult qualified educators for formal educational assessment and guidance.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Syntaxiom shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
• Syntaxiom's total liability for any claim arising from this Agreement or your use of the Service shall not exceed the amount you have paid to Syntaxiom in the twelve (12) months preceding the claim, or fifty U.S. dollars ($50), whichever is greater
• Syntaxiom shall not be liable for any content uploaded by users, including copyright infringement, defamatory content, or illegal content
• Syntaxiom shall not be liable for any loss of data resulting from device failure, software updates, account deletion, or service discontinuation

10. Indemnification

You agree to indemnify and hold harmless Syntaxiom and its officers, employees, and contractors from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your violation of this Agreement
• Your infringement of any third party's intellectual property rights through uploaded content
• Your misuse of the Service or its content
• Any content you create, upload, or distribute through the Service

11. Account Termination

• You may delete your account at any time through the Service's settings or by contacting us
• Syntaxiom may suspend or terminate your account and access to the Service if you violate this Agreement, including but not limited to scraping, redistributing content, or uploading infringing material
• Upon termination, your right to use the Service and access its content ceases immediately
• Termination does not relieve you of obligations regarding content you have already downloaded or transformed — the restrictions on redistribution and use survive termination
• Syntaxiom may terminate or discontinue the Service or any feature with reasonable notice. We are not liable for discontinuation of the Service

12. Modifications to This Agreement

Syntaxiom may update this Agreement from time to time. Material changes will be communicated through the Service or via email. Continued use of the Service after changes become effective constitutes acceptance of the revised Agreement. If you do not agree to the changes, you must stop using the Service and may request account deletion.

13. Governing Law and Dispute Resolution

13.1 International Users

For users outside of mainland China, this Agreement is governed by the laws of the State of California, United States of America. Any disputes shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association.

13.2 Users in Mainland China

For users in mainland China, this Agreement is governed by the laws of the People's Republic of China. Any disputes shall first be resolved through negotiation. If negotiation fails, disputes shall be submitted to the Beijing Arbitration Commission (北京仲裁委员会) for arbitration in accordance with its rules in effect at the time.

13.3 Chinese Summary (中文摘要)

14. Severability

If any provision of this Agreement is found to be unenforceable or invalid by a court or arbitrator, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
